Terms of Service

BottleTrace™ Exchange ("Exchange") is operated by Coa Data, LLC ("Coa Data," "we," "us," or "our"). These Terms of Service ("Terms") govern access to and use of the Exchange, including all related content, features, and services.

By accessing or using the Exchange, you agree to these Terms. If you do not agree, you must not access or use the Exchange.

1. Eligibility & Access

BottleTrace™ Exchange is intended solely for verified alcohol industry professionals.

By requesting access, you represent that:

  • You are actively engaged in the alcohol industry in a professional capacity, and
  • All information you provide during signup is accurate and current.

Access to the Exchange is granted at the discretion of Coa Data, LLC. We may approve, deny, suspend, or revoke access at any time to preserve the integrity of the Exchange.

2. Accounts & Verification

To participate in the Exchange, you must create an account and complete the verification process.

Verification is conducted internally by Coa Data, LLC and may include:

  • work email verification
  • role and industry context review

Coa Data, LLC does not contact employers as part of verification.

You are responsible for maintaining the security of your account and for all activity conducted under it.

3. Anonymity & Identity

The Exchange is designed to allow anonymous participation within the community.

While certain profile information may be displayed to provide context (such as role, role type, region, or employer where applicable), individual identities are not publicly displayed as part of normal participation.

You agree not to:

  • attempt to identify other members
  • disclose another member's identity without consent
  • misuse information shared within the Exchange to de-anonymize participants

Coa Data, LLC may retain identifying information internally for operational, legal, or security purposes.

4. Acceptable Use & Conduct

You agree to use the Exchange in a professional, respectful, and lawful manner.

The following conduct is prohibited:

  • harassment, threats, or abusive language
  • discriminatory, inflammatory, or hateful content
  • misrepresentation of role, affiliation, or identity
  • knowingly false or misleading information
  • unauthorized disclosure of confidential, proprietary, or trade-secret information
  • posting content that violates any non-disclosure agreement, employment agreement, or other contractual obligation to which you are bound
  • advertising, solicitation, or sales outreach
  • attempts to buy, sell, or broker alcohol
  • efforts to circumvent moderation, access controls, or anonymity safeguards

You acknowledge that you are solely responsible for ensuring that any content you post complies with all obligations you owe to your employer, clients, or other third parties, including but not limited to confidentiality agreements, non-disclosure agreements, and employment contracts. Coa Data, LLC has no obligation to evaluate whether your content breaches any such obligation.

Coa Data, LLC reserves the right to moderate content and enforce standards to maintain a high-signal environment.

5. Content & Contributions

Members retain ownership of the content they submit, but by posting in the Exchange you grant Coa Data, LLC a non-exclusive, royalty-free license to use, display, store, and analyze such content in connection with operating and improving the Exchange.

You are responsible for ensuring that content you submit:

  • reflects your own experience or perspective
  • does not violate applicable laws or third-party rights
  • does not contain trade secrets or proprietary information belonging to any third party
  • is appropriate for a professional industry audience

Coa Data, LLC may remove or restrict content at its discretion.

6. Moderation & Enforcement

Coa Data, LLC may review, moderate, remove, or restrict content and accounts to enforce these Terms and preserve trust.

Violations may result in:

  • content removal
  • temporary restrictions
  • suspension or termination of access

Enforcement decisions are made at the discretion of Coa Data, LLC and may occur without prior notice, depending on severity.

7. Privacy

Your use of the Exchange is also governed by our Privacy Policy, which describes how Coa Data, LLC collects, uses, and protects information.

We take reasonable steps to protect member privacy and to limit the public visibility of identifying information, but no system is entirely risk-free.

8. Disclaimers & Platform Status

The Exchange provides industry discussion and informational content for general professional reference only. The Exchange is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Content shared by members:

  • reflects individual perspectives and opinions of the posting member only
  • does not represent the views of Coa Data, LLC, any employer, or any other member
  • does not constitute legal, regulatory, financial, or business advice
  • should not be relied upon as definitive or authoritative

Coa Data, LLC makes no warranties regarding accuracy, completeness, or reliability of user-generated content. Coa Data, LLC does not adopt, endorse, or assume responsibility for any content posted by members. The Exchange is an interactive computer service platform that enables members to share perspectives, and Coa Data, LLC functions solely as a platform provider, not as the publisher or speaker of member-generated content.

9. Limitation of Liability

To the fullest extent permitted by law, Coa Data, LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to:

  • your use of or inability to use the Exchange
  • any content posted, shared, or made available through the Exchange by any member
  • unauthorized access to or alteration of your data
  • any third-party claims arising from content you post
  • any action taken by any employer, business partner, or third party as a result of content posted on the Exchange

In no event shall the total liability of Coa Data, LLC exceed one hundred dollars ($100).

Use of the Exchange is at your own risk. You assume full responsibility for any consequences arising from your posts and participation.

10. Indemnification

You agree to indemnify, defend, and hold harmless Coa Data, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your use of the Exchange
  • content you post, submit, or make available through the Exchange
  • your violation of these Terms
  • your violation of any third-party right, including but not limited to intellectual property rights, trade secrets, confidentiality obligations, or privacy rights
  • any claim by your employer, client, or other third party that content you posted on the Exchange disclosed confidential, proprietary, or trade-secret information

This indemnification obligation survives termination of your account and these Terms.

11. Content Removal Requests & DMCA

Coa Data, LLC respects the intellectual property rights of others. If you believe that content posted on the Exchange infringes your copyright, trade secret, or other proprietary right, you may submit a removal request to legal@coadata.io.

A valid removal request should include:

  • identification of the content you believe is infringing or unauthorized
  • a description of the right you claim is being violated
  • your contact information
  • a statement that you have a good-faith belief that the content is unauthorized
  • a statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on behalf of the rights holder

Coa Data, LLC will review and respond to valid requests in a reasonable timeframe. We reserve the right to remove or disable access to content that we determine, in our sole discretion, may be infringing or otherwise in violation of these Terms.

12. Termination

You may stop using the Exchange at any time.

Coa Data, LLC may suspend or terminate access at its discretion, including for violations of these Terms or conduct that undermines trust within the Exchange.

Upon termination, your right to access the Exchange ceases immediately. Sections 5, 8, 9, 10, 11, 13, and 14 survive termination.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Exchange shall be resolved exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction of such courts.

To the fullest extent permitted by law, you agree that any claim or dispute must be brought in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Exchange or by other means. Continued use of the Exchange after changes constitutes acceptance of the revised Terms.
